Terms and Conditions

1. Eligibility and Agreement

By enrolling in this membership, the member confirms they are at least 18 years of age and agrees to be bound by these Terms and Conditions. These terms apply to the member’s participation in the Aesthetica by Ashley Howarth MD membership program and any affiliated entities (collectively, the “Company”).

2. Membership Scope and Limitations

Membership benefits are personal to the enrolled member only and may not be shared, transferred, or assigned to any other individual. All membership benefits are valid only during an active membership term.

3. Program Changes and Availability of Services

The Company reserves the right to:

• Modify, update, add, remove, or discontinue any services, treatments, products, pricing, or benefits at its sole discretion
• Substitute services or offerings with comparable alternatives

Members will receive at least thirty (30) days’ written notice of any material changes. Continued participation after such notice constitutes acceptance of the updated terms. The Company does not guarantee the ongoing availability of any specific service, treatment, or provider.

4. Membership Term, Renewal, and Cancellation

The initial membership term is six (6) months (“Initial Term”). During the Initial Term:

• The membership may not be canceled or paused.
• Early termination will result in a $300 (A-List) or $600 (A-List Elite) early termination fee charged to the payment method on file.
• Members who cancel before completing the Initial Term may be ineligible to re-enroll for twelve (12) months.
• Upon cancellation, any unused monthly benefit balance will remain on the account as a credit to be used and is non-refundable.

Upon completion of the Initial Term, the membership automatically renews on a month-to-month basis. Either party may cancel with at least thirty (30) days’ written notice prior to the next billing cycle. To cancel, members may email their membership coordinator or submit a written cancellation request to the front desk. Upon cancellation, any unused monthly benefit balance will remain on the account as a credit to be used and is non-refundable. The A-List Elite annual BBL HEROic benefit unlocks after completion of the initial membership term of six (6) months.

5. Promotions and Discounts

Membership benefits and pricing may not be combined with any other promotions, discounts, or special offers unless expressly authorized in writing by the Company. The Company reserves the right to determine, at its sole discretion, when promotional stacking is permitted.

6. Automatic Payment Authorization

Monthly membership fees are charged in advance to the member’s designated credit or debit card on file. Billing occurs on the same calendar date each month based on the original enrollment date. The member is responsible for maintaining valid and up-to-date payment information at all times.

If payment fails:

• The member must update payment information within ten (10) days of the failed billing date.
• Membership benefits may be suspended until payment is received.
• A $35 late fee will be applied.
• Continued non-payment may result in termination of membership.

If no valid payment method is provided within the required timeframe, the Company reserves the right to pursue all remedies available under this Agreement and applicable law.

7. Payment Changes and Renewals

The Company reserves the right to periodically review and adjust membership pricing, billing structure, or payment terms. Members will receive at least thirty (30) days’ written notice of any material changes, including fee adjustments. By enrolling, the member authorizes the Company to charge all applicable fees to their designated payment method indefinitely unless canceled by the member.

8. Termination by Company

The Company reserves the right to terminate any membership at any time, with or without cause, and without refund of any fees already paid. Grounds for immediate termination include but are not limited to:

1. Providing false or misleading health or personal information
2. Providing invalid or improper payment information
3. Failure to update payment information within thirty (30) days of a failed payment
4. Material breach of this Agreement or Company policies
5. Fraudulent misrepresentation during enrollment
6. Violation of any Company policies, rules, or procedures
7. Any conduct deemed harmful to the Company’s operations or clients

The Company reserves the right to retain any funds collected to cover reasonable costs incurred due to termination or breach.

9. Membership Freeze Policy

Eligibility requirements:

• Membership must be active for at least six (6) months.
• At least one (1) successful monthly payment must have been processed.

Freeze conditions:

• One (1) freeze allowed per annual membership term.
• Minimum freeze period: thirty (30) days.
• Maximum freeze period: three (3) months.
• Approval is required and subject to Company discretion.

The member may specify an end date at the time of request. If no end date is provided, the freeze will default to the maximum three (3) months. During a freeze, membership benefits are suspended and no billing occurs. At the conclusion of the freeze, billing resumes automatically and the membership term will be extended by the duration of the freeze.

10. Credit

A-List and A-List Elite members may roll over unused monthly treatment credit. Credit rollovers may not be transferred or redeemed for cash. Unused credit is non-refundable at the termination of the membership and will remain on account as a usable credit.

11. General Provisions

Fees are non-refundable. Memberships are non-transferable. Prices are subject to change with proper notice. Benefits cannot be redeemed in conjunction with other discounts unless authorized. This Agreement constitutes the entire agreement between the member and the Company with respect to the membership program and supersedes all prior agreements, representations, and understandings.
